Let us not forget that we promised some answers to Steve Argyle's most excellent follow-up questions from the wonderful Linda Kattwinkel of Owen, Wickersham & Erickson ( www.owe.com ).
Linda is the author of the copyright law column, "Legalities"!

Here is the Q&A follow-up between Steve Argyle and Linda Kattwinkel.


Steve:
"Fan art." Paid, or for fun: Infringement in both cases, right? As the work may be original, but the characters portrayed are copyrighted.

Linda:
Fan art is technically infringement. But so long as the work is not being exploited commercially (e.g., the fans are not selling t-shirts), most copyright owners take the wise course of allowing it. Remember, it is always the copyright owner’s prerogative to grant permission to others to copy the work, on the copyright owner’s terms. Fan art can be allowed with the copyright owner’s explicit or implicit blessing.


Steve:
...But is there a line of fair-use somewhere in there? Most of us started out by submitting portfolios jammed full of craptastic Wolverine vs. Darth Vader drawings. And sites like Deviantart are 95% fan-art.

Linda:
Private portfolio pieces, in order to show prospective clients that you have the skill to illustrate famous characters, is probably fair use, IF you are clear about it, and especially if you are showing a prospective client renderings of its own characters. Where you could get into trouble is making such portfolio pieces public (e.g., on your website), especially if in context it looks like you actually did them as actual paid work for the owners of those characters (that would be misrepresentation and unfair competition).


Steve:
I imagine pros should just plain steer clear. I know I've turned down plenty of private commissions because the request was for copyrighted characters. Is there ever a non-satirical scenario where it's ok?

Linda:
If someone wants to commission you to create work based on copyrighted characters, I agree, it is wise to turn down the job. In that scenario, you are earning money for creating the copy, which puts you squarely in the infringement camp (along with your client). The only way to safely accept such a commission is to have a written contract in which the client warrants that it has permission to do this, and agrees to indemnify you against any infringement claims. Even then, you should make sure the client has the means to pay for defending you in a lawsuit if it happens, otherwise the indemnification may not help you.**

**You are right, the only exception is “fair use,” which generally requires your work to be a critique, comment or parody of the copyrighted character. Non-satirical copies won’t qualify.

Steve:
(I've actually tried to purchase licensing for creating artwork based on some of the big franchises. Even the ones I work for just sort of shrugged.)

And a contracts question:

Publishers all have "boiler-plate" contracts, and some of them can get downright draconian. Most artists are simply super-excited to be working, and barely read the contract, let alone understand that in some cases, they themselves are no longer allowed to use or display the work in any context.

Is there a "boiler-plate" contract outline that artists can purchase, perhaps from your firm, Linda, which an artist can use for various scenarios?

Linda:
There are some good resources for form contracts for illustrators to use in various scenarios. The GAG Handbook has several: http://www.graphicartistsguild.org/handbook/; and Allworth Press has many books full of sample contracts: http://www.allworth.com/Business_and_Law_Books_s/2.htm. These are good starting places, but I strongly recommend that you have an attorney review your proposed form before you start using it. There are always individual circumstances to consider, and they might be ill-served by the form.


Steve:
Lastly, I've had a number of this ghastly beast: "Surprise! We rewrote your contract!" Now, I realize that in many contracts, there is written provision for modification after signing, but what is the scope of what can be changed? I've had contracts rewritten to remove my rights to display the work and sell prints. I've had contracts that were rewritten from temporary license, to work-for-hire. I know that at least some of this isn't legal, but I'll be buggered if I know which parts, and what my rights are in this sort of situation.

Linda:
As a matter of contract law, once you have made an agreement, the only way to change it is by the mutual agreement of both parties. One side to an existing contract cannot just unilaterally change the terms. In order to change it, under contract law you essentially have to make a new agreement, which requires that each party provides “consideration” for the new terms. Consideration is something of value that each party gives the other in order to make the agreement legally enforceable. Generally, when you enter into the original contract, the consideration from your client is money, and the consideration from you is your illustration services and license for the client to use the art. Later, if the client wants to eliminate your rights to display the work and sell prints, giving up those rights would be a form of new consideration they are getting from you. What form of new consideration are you getting in return from them? If the answer is nothing, there is no enforceable change to the contract terms. If you are presented with such after-the-fact changes, you can just say no.

One caveat: if your client presents you with new terms that would apply only to future work you would do for them (rather than for work you have already created per your original contract), that may legally be considered an offer for a new contract, which you can either accept or reject. Their bargaining power comes in if they can say you won’t get any more future work unless you agree to the new terms. Unfortunately, this seems to be a common tactic.


Steve:

Ninjas pride themselves on remaining in the shadows, however...

As of this moment, the Ninja Mountain Scrolls site will be implementing a 'no anonymous postings' ruling. 


Anonymous posting will no longer be allowed and all such posts, regardless of content, will be deleted.


This is to encourage open discussion while simultaneously holding each participant clearly accountable for their own statements and behavior. 


We believe that this will engender self-moderation during debates, and offset the requirement for a more formal arrangement.

Ninja Mountain 45 - Radio Ventriloquism

Started writing this in the style of a foul mouthed pirate. Then completely got over it. Think yourselves lucky.

So! Episode 45! This week the full Ninja Mountaineer Squad were largely indisposed, preparing for something called "Christmas". Nonetheless a plucky team of handpicked idio...panelists managed to get together and record their thoughts on the newly released version 3 of painting software ArtRage.

In true Ninja Mountain style discussion rambles and ranges as you might expect as Andy, Scott and Jon open up their new programs and dive in, live to tape. They share their thoughts and observations on Ambient Design's new baby. Where others may hesitate in presenting a radio show about live use of a graphics program our crack team took no prisoners.


Bit of a special interest episode, we freely admit. But what? You gonna ask for your money back?

Ninja Mountain Episode 40 - Cannibals of the Typing Pool

JOIN US! This week the team meet up at the S. Myles typing pool. The audio is absolutely shot to heck by the incessant clatter of brand spanking new imac keyboard keys, but we just like to think of that as edgy and lo-fi. And you can too!

This week the NMeers (enemeers? ew!) form up to make a giant beardless female robot dwarf, blindly marching across a poorly constructed and ill conceived cardboard landscape littered with conversational dead ends and the smoking holes left where we edited out the parts not suitable for the tender ears of our culturally refined and gloriously urbane listeners. Some GenCon pics!

My wife very dutifully took some pictures of our time at GenCon 2009 for you to enjoy.
I divided my time between showing my portfolio around on the convention floor and performing interviews with occasional opportunities to work at my booth.
I am glad you all enjoyed the audio segments I collected while at the show. I wish to extend special thanks to all that had a moment to share with us.
GenCon has a special place in my heart as you can probably tell from these past two episodes. Far from making this into a two episode commercial for the Indianapolis convention, I chose to corner creatives with whom we might not otherwise have an opportunity to speak with on the show.
Much praise must be heaped upon Patrick and Jon for their herculean efforts in wrangling these special episodes with their superior audio-fu!
Many thanks to folks who approached me at the con to offer their compliments to our team. It has been very heartening to learn that our show is making a difference and entertaining you at the same time. :)

Ninja Mountain 29: Rise of the Replicants

A hell of hot metal and hate powered circuitry breaks loose like an avalanche of mixed metaphors this week on the Mountain. With Jeremy away at Gencon gathering the audio-fruits of the season the remaining Mountaineers do their best to cope with the robot apocalypse sans congenial host, and welcome in our new robot overlords with answers to the following questions:

Ninja Mountain Episode #28 - 1)talk 2)??? 3)PROFIT!!

OK, the episode is a tiny bit late, but after the earth is swallowed whole by giant space lampreys, who's really going to care?

What the horrible space eels WILL remember is that this episode features a great conversation between Ralph Horsley and special guest Steven Belledin, questions from listeners, and lots of conversation with Jon, Socar, Jeremy, Ralph and Patrick. And they will regret having swallowed our planet so callously and destroyed such entertaining artists, and perhaps... Just maybe... They'll think twice before doing it again to another beautiful blue planet somewhere else in the cosmos.

Ninja Mountain Episode #26 - Love Hate Sleepy Time

It's that time of the week again. Set your ears to stun and tune in to the latest slice of happytime sugartaste goodness from Ninja Mountain!

We're back to a compact and bijou hour long show this week as the whole team were frankly exhausted.  In spite of their advanced state of fatigue another wonderful* show was wrung out of them drop by drop until the sonic cup verily flowethed over!  This week we take listeners calls once again, with two questions from the wonderful Christopher Burdett, and the fantastic Caroline Himmelman.  And in fact we even come close to answering some those questions!  The love runs free and its hug time for everyone.  

This week's questions:
Why are fantasy artists apparently so nice to each other when we're all in competition?
How do you cope with falling short of teh awesome?
Would you talk about a bad experience with an art director? On line? With friends? (We might not get round to answering the friends part in much detail since we got motoring on the online topic...)

Between the actual content there's a gold mine of actual singing, dancing and all the other things four freelancer artists do when they are too tired to know any better! This week's show is presented by Andy, Jeremy, Jon and Socar.

Equipment drive

Hi loyal Ninja audience! We have a fun idea - Patrick and Jeremy would like to record some interviews with artists at San Diego Comic-con and GenCon this summer. But to do this, we'd need to buy a digital recorder, and we were wondering: is there any chance we could get you to pitch in? Sort of an "Equipment drive". If you're interested, just click the "donate" button on the left side of the page and send whatever you can afford; no amount is too small!

(Except negative numbers - I guess that would be too small. So technically I lied, but hopefully you know what I meant in spirit..)

Summer Convention Funtime GO!

Hey there Ninja Mountain listeners!

Well, summer is here, and with it comes conventions. And the biggest in the US is the San Diego Comic-Con. Patrick will be attending, mostly hanging out at the Archaia booth promoting the upcoming Starkweather: Immortal hardback, but also giving a Digital Painting Seminar!

The seminar is now officially up on the SDCC Friday Programming page. Here's the text:
